  甲方(酒店):Party A (hotel)

  乙方:餐饮管理有限公司Party B: Food Kitchen Management Service Co., Ltd.

  甲、乙双方经友好协商,根据《中华人民共和国劳动合同法》及相关法律法规规定,签订本协议,并承诺共同遵守。

  Through friendly negotiations and according to the Employment Contract Law of the People’s Republic of China as well as relevant laws and regulations, Party A and Party B (hereinafter referred to as both parties) reach the following agreement and agree to abide by its terms and conditions.

  第一条、协议期限Article 1 Term of agreement

  合同期为 年。期限从 起至 止。合同期满,合作双方应提前一个月以书面形式提出终止合同,否则,该合同自动续延一年。

  The term of the agreement shall be year(s), specifically from to . Either party shall give a one-month written termination notice to the other party prior to expiry of the agreement, otherwise the agreement will be automatically renewed for a year.

  第二条、乙方人员岗位及人数 Article 2 Posts and number of dispatched employees

  甲、乙双方经协商确认,乙方于本协议有效期内向甲方提供中厨管理服务并派遣中厨房工作人员。乙方负责派往甲方人员明细,请见中厨房岗位编制表,见附件1 。

  Both parties negotiate and confirm that Party B shall provide Party A with the Chinese food kitchen management services and dispatch its Chinese food kitchen employees within the term of the agreement. See Annex 1 Arrangement of Posts for Chinese Food Kitchen Employees for the details about such employees.

  第三条、乙方员工工作时间和休息休假 Article 3 Work time and off-duty of employee

  1. 工作时间:乙方员工在甲方工作期间执行不定时工时工作制。实行综合计算工时工作制或不定时工时工作制的,由乙方负责报经劳动行政部门批准,并告知派遣员工。

  On-duty arrangement: The employees dispatched to Party A shall follow the flexible working hour system within the contracted working period. No matter either the combined or the flexible working hour system is followed, Party B shall be responsible for reporting it to the Labor Administrative Department for approval and such employees shall be informed.

  2. 休息休假:派遣员工每周休息一天,将依法享受国家规定的法定节假日和用工单位规定的休假待遇。工作满半年之后,派遣员工每年可享有一次七天带薪年假。

  Off-duty arrangement: The dispatched employees are entitled to enjoy one day off on a weekly basis, and all official holidays and the off-duty schedule developed by Party A. After working for half a year, the employees are entitled to enjoy a 7-day paid leave on a yearly basis.

  第四条、 管理费结算标准方案

  Article 4 The management fee shall be settled according to the following scheme

  甲、乙双方约定合同期,乙方共派遣 人,甲方每月支付乙方管理费为人民币 元;

  Both parties agree that Party B shall dispatch a total of employees and Party A shall pay Party B RMB as management fee on a monthly basis during the agreed period .

  甲方每月 日前将本协议约定的管理费用交付乙方,乙方开具正式管理费发票。

  Party A shall pay the agreed management fee to Party B prior to the th day of each month and Party B shall issue a formal invoice for it.

  如有甲方延期 个工作日后未支付本合同约定的款项,甲方需向乙方支付滞纳金。滞纳金计算标准为:每延迟一日,需支付乙方应付金额的千分之一 。如延期 天未支付本合同约定的款项则被视为违约,乙方并有权终止本合同,甲方除结清所有欠款之外另需向乙方偿付一个月的管理费为违约赔偿金。

  If Party A fails to pay the agreed fees in working days after the agreed payment date, Party A shall pay overdue fine to Party B. Such overdue fine shall be 0.1% of the amount payable by Party A for each postponed day. Party A’s failure to pay the agreed fees in days after the agreed payment date shall be deemed breach of agreement, which shall entitle Party B to terminate the agreement. Party A shall pay one-month management fee to Party B as breach compensation in addition to all remaining arrears.

  如甲、乙双方任何一方提前终止本协议,终止方另需向对方偿付当月 个月的管理费作为违约赔偿金。

  If either party terminates the agreement early, the terminating party shall pay the other

  party month management fee as breach compensation.

  第五条、乙方相关管理规定 Article5 Management provisions relevant to Party B

  1. 乙方参照餐饮管理有限公司对酒店中厨房考核方案书对中厨房部实施管理,见附件2。

  Party B shall manage the Chinese Food Kitchen Department by following Service Management Co., Ltd.’s Chinese Food Kitchen Assessment Program for Hotel (See Annex 2).

  2.乙方员工在工作期间内必须严格遵守甲方管理制度,如有违反,甲方可以按照酒店相关制度对员工进行教育、扣罚,严重者甲方可以将员工退至乙方另行处理。

  The employees dispatched by Party B shall strictly follow Party A’s management rules within the dispatch period. If any of the employees violates any of such rules, Party A shall be entitled to educate and/or penalize him/her according to relevant rules of the hotel. Any serious violator(s) may be sent back to Party B for further punishment.

  3. 甲乙双方共同负责教育员工,依法制定对乙方员工的管理制度和劳动纪律,按照本协议和劳动合同的约定,三方面履行各自的义务。

  Both parties shall be jointly responsible for educating the dispatched employees and drawing up relevant management and labor rules for them as per laws. The three sides shall perform their own obligations according to the agreement and the labor contract.

  4. 乙方员工在协议期限内提前终止合同的,按照《中华人民共和国劳动合同法》的相关规定执行,乙方应提前通知甲方。

  If any dispatched employee terminates the labor contract in advance within the term of the agreement, then relevant regulations of the Employment Contract Law of the People’s Republic of China shall be followed and Party B shall inform Party A in advance.

  5. 乙方派遣的厨师长为中餐厅、中厨房消防安全及食品安全管理的第一责任人,应建立健全内部各项安全制度,包括;防火、灭火制度、夜间消防值班制度、食品安全、安全操作规程及重点要害部位消防管理办法、突发火灾事件处理预案等。发现消防安全隐患应及时整改或报告。

  The head chef dispatched by Party B shall be the person primarily responsible for fire control safety and food safety management, who shall establish and improve various internal safety systems including but not limited to fire prevention and extinguishment systems, night fire control attendance system, food safety, safe operation regulations, measures for fire control of key spots, and sudden fire response plan, and also timely rectify or report any identified potential fire control safety hazard.

  第六条、结算标准、支付时间及违约责任

  Article 6 Settlement criteria, payment time and liability for breach of contract

  甲方每月支付给乙方管理费包含以下所有费用:

  I. Party A shall pay Party B a management fee on a monthly basis that shall include:

  1、乙方派遣员工工资报酬、奖金和其他相应福利;

  The wage, bonus and other welfare for the employees dispatched by Party B;

  2、乙方按国家和地区有关政策要求为员工缴纳的社会保险费用以及法定福利、其它政府强制缴纳的费用;

  The social insurance premium, legal welfare and other government-mandated expenses paid by Party B for such dispatched employees according to national and regional relevant policies;

  3、 乙方实施中厨房管理的服务费、差旅费以及税金等。

  The service fees, travel expenses and taxes required for implementation of Chinese food kitchen management by Party B.

  第7条、甲方的权利和义务 Article 7 Rights and obligations of Party A

  1. 提供乙方工作所需的设备和良好的工作环境的义务。

  Party A shall be obliged to provide Party B with any equipment required for work and a good working environment;

  2. 甲方如对乙方员工技术能力不满,有要求乙方更换的权力,乙方应当予以更换。

  If Party A is not satisfied with the technical ability of any of the employees dispatched by Party B, Party A shall have the right to request Party B to replace him/her and Party B shall do so;

  3. 乙方须接受甲方领导和监督,如乙方违反相关店规,甲方有权利对乙方做出正当处罚。(但处罚需由乙方项目负责人认可后方可执行)

  Party B shall accept the leadership and supervision by Party A. If Party B violates any hotel rules, Party A shall have the right to penalize Party B reasonably (However, such penalty shall not be implemented without prior approval by Party B’s project leader);

  4. 甲方在履行协议期间需对房东所有资料予以保密。

  Party A shall keep all materials about the landlord confidential during the performance of the agreement;

  5. 甲方有按照本协议定及时支付乙方报酬的义务。

  Party A shall be obliged to timely pay remuneration to Party B as agreed;

  6. 甲方支持乙方参加各类有利于酒店声誉的社会活动。

  Party A shall support Party B’s participation in any social events good for the reputation of the hotel;

  7. 乙方委派人员如发生违法活动,甲方有权予以开除。

  If any employee dispatched by Party B acts in a way against any law, Party A shall have the right to dismiss him/her.

  第8条、协议的变更和解除 Modification and Termination

  本协议生效后,除法律、法规和其他规范性文件另有规定或本协议另有约定外,未经甲、乙双方书面协商一致,任何一方不得自行变更、终止或解除本协议。

  After the effective of this Contract, unless otherwise required by laws, regulations and other normative documents or agreed in writing by the negotiating parties, neither party can modify or terminate this Contract.

  任何一方要变更、终止或解除本协议的,应先向对方发出书面通知,然后进行协商。

  Any party requires to modify or terminate this Contract shall negotiate with the other party by sending a written notice in advance.

  第9条、争议的解决 Dispute Resolution

  本协议适用中华人民共和国法律。所有涉及本协议的争议,应首先通过友好协商加以解决。如协商不成,应将该争议提交至北京国际经济贸易仲裁委员会。该会依据其现行有效的仲裁规则进行仲裁。该仲裁裁决是终局的,对双方具有约束力,并可在任何有管辖权的法院或其他有权机构强制执行。

  This Contract shall be governed by the laws of People’s Republic of China. All the disputes arising out of or relating to this Contract shall be resolved through negotiation first. The dispute shall be referred to and finally determined by China International Economic and Trade Arbitration Commission once negotiation fails, in accordance with currently valid arbitration rules. Such arbitration award shall be final and legally binding upon both parties, and can be enforced by any competent court or authority.

  第10条、 其他 Miscellaneous

  本协议未尽事宜,双方可经友好协商达成补充协议,补充协议与本协议不一致之处,以签定时间在后者为准。任何于本协议签订前经双方协商而未记载于本协议之事项,对双方皆无约束力。

  What is left unmentioned in the Contract, a supplementary shall be constituted by amicable negotiation. In the event of any conflict between the supplementary and this Contract, the one signed latter prevails. Any matters negotiated by both parties before which do not mentioned in this Contract cannot bind the parties.

  本协议一式两份,甲乙双方各执一份,具有同等法律效力。本协议自双方签字并盖章之日起生效,双方履行完毕本协议及其有关的所有义务时,本协议终止。

  This contract (including its appendix) has two counterparts, of equally legal effectiveness, which is held by each party. This contract will become effective from the signature date and will terminate once all the duties set forth hereunder are fulfilled.

    答:①根据中华人民共和国国家标准GB/T 19363.1-2003 对翻译行业服务规范的要求,中文字数统计是以不计空格字符数为计算单位的。标点符号算翻译字数是统一的行业标准。 ②标点符号在不同的语种中,有不同的表达方式,例如中文的标点符号大多是全角的,英文的无特殊设置都是半角的,而且如果一句话或一段内容夹杂两种不同的语言,标点符号的规则就相对复杂,对于翻译文件来说,标点符号的部分也是很费时。 ③另外,标点符号在句子中对句子语境等的限制因素,使得标点对句子、对译员翻译判断等起到一定的要求。所以,该部分也要计算在内。 ④可能我们平时不是很注重标点符号,其实在文字表达中,标点符号的重要不亚于单字单词,一个标点符号可以改变全句话的意思,而我们的工作也是做到了这一点,保证每个标点符号的准确,保证译文表达的意思和原文一样。
