　　AGREEMENT OF PARTENERSHIP PROJECT

　　Both parties conclude this cooperation agreement on the principle of fairness, equality and mutual benefit as follows:

　　第一条 甲乙双方自愿合作经营 项目，总投为 万元，甲方以人民币方式出资 万元，乙方以 方式入股。

　　Article 1. Party A and Party B volunteered to operate the project jointly, total investment

　　第二条 本合伙依法组成合伙企业，在合伙期间合伙人出资的为共有财产，不得随意分割。合伙终至后，各合伙人的出资仍为个人所有，届时予以返还。

　　Article 2. This agreement constitutes partnership business according to law. During the period of partnership, the contribution of capital from copartners shall be regarded as joint property and shall not be divided up at will; upon termination of partnership, the contribution of capital from each copartner shall be owned by individuals and will be refunded at the scheduled time.

　　第三条 双方共同经营，合伙人执行合伙事务所产生的收益归全体合伙人，所产生的亏损或者民事责任由全体合伙人共同承担。

　　Article 3. The two parties shall conduct joint operation; income derived from partnership activities shall belong to all copartners while loss or civil liability occurred in partnership activities shall be borne by all copartners together.

　　第四条 项目盈余按照取得的销售净利润的甲方 %、乙方 %的比例分配。

　　Article 4. Surplus earned will be allocated on a proportional basis of net profit earned from sales, Party A % while Party B %.

　　第六条 项目债务按照甲方 %、乙方 %比例负担。任何一方对外偿还债务后，另一方应按比例在内向对方清偿自己负担的部分。

　　Article 6. Debt of the project shall be assumed by a ratio basis of Party A % and Party B %. Should one party paid off the external debt, the other party shall pay back its own part pro rata.

　　第七条 自协议签订之日起，乙方负责技术和项目现场有关事宜，甲方负责日常管理;与业主、监理方、设计单位的各种工作联系(包括协商、签证等)及日常事务。

　　Article 7. From the date of agreement, Party B is responsible for matters concerned technology and project site while Party A is responsible for daily management, contact with client, supervisor and design organization (including consultation and visa, etc.) as well as daily routine.

　　第八条 争议处理Article 8. Dispute Settlement

　　1、对于执行本合同发生的与本合同有关的争议应本着友好协商的原则解决;

　　Any disputes arising from the execution of, or in connection with the contract shall be settled through friendly consultations between both parties;

　　2、如果双方通过协商不能达成一致，则提交仲裁委员会进行仲裁，或依法向人民法院起诉;

　　Where no settlement can be reached through consultation, the disputes shall be submitted to arbitration committee for arbitration or resort to people’s court.

　　第九条 违约处理Article 9. Actions upon event of default

　　如果一方违反本合同的任何条款，非违约方有权终止本合同的执行，并依法要求违约方赔偿损害。

　　Should one party breaches any clause of this contract, the other party shall have the right to terminate this contract and claim compensation against default party by law.

　　第十条协议解除Article 10. Termination of agreement

　　1、一方合伙人有违反本合协议的，另一方有权解除合作协议

　　Should one party violate this cooperation agreement, the other party shall have the right to terminate the agreement.

　　2、合作协议期满 The cooperation agreement is expired;

　　3、双方同意终止协优议的 Both parties agree to terminate the agreement;

　　4、一方合伙人出现法律上问题及做对企业有损害的，另一方有权解除合作协议

　　Should one party breaks the law or do harm to the project, the other party shall have the right to terminate the agreement.

　　第十一条 本协议未尽事宜，双方可以补充规定，补充协议与本协议有同等效力。

　　Article 11. Any matters not mentioned herein shall be regulated by a supplemental agreement which shall have the same legal binding force with this agreement.

　　第十二条 本合同一式两份，双方各执一份，具有相同的法律效力。

　　Article 12. This agreement is made in duplicate with the same legal effect either of which shall be held by both parties respectively.
