　　hereinafter called the Vessel, on the following terms and conditions：

　　此合同的船舶遵循以下条款：

　　1. Price船价

　　Price: 船价为__。

　　2. Deposit保证金

　　As a security for the correct fulfillment of this contract, the Buyers shall pay a deposit of 10%―ten per cent of the Purchase Money within banking days from the date of this agreement. This amount shall be deposited with and held by them in a joint account for the Sellers and the Buyers. Interest, if any, to be credited the Buyers. Any fee charged for holding said deposit shall be borne equally by the Sellers and the Buyers.

　　为了确保全合同的严格履行，买方应在合同签订日后的_个银行工作日内支付金额占买价百分之十保证金。该保证金应存入_银行所开立的买卖双方的共同帐户上，如有利息应归买方。开立保证金帐户的费用应由买卖双方均等负担。

　　3. Payment付款

　　The said Purchase Money shall be paid free of bank charges to on delivery of the vessel, but not later than three banking days after the vessel is ready for delivery and written or telexed notice thereof has been given to the Buyers by the Sellers.

　　在船舶移交时，上述买价应全额支付。该买价不负担银行手续费。上述付款不行迟于移交工作已准备就绪及卖方已给予买方书面或电传通知后的三个银行工作日。

　　4. Inspection.船舶检查

　　The Buyers shall have the right to inspect the vessel’s classification records and declare whether same are accepted or not within . The Sellers shall provide for inspection of the vessel at/in .

　　买方有权查阅船上的船级记录，并在_(时间)内宣布是否予以承认。卖方应在_(地方)为买方安排船舶检查。

　　The Buyers shall undertake the inspection without undue delay to the vessel. Should the Buyers cause such delay, they shall compensate the Sellers for the losses thereby incurred. The Buyers shall inspect the vessel afloat without opening up and without cost to the Sellers. During the inspection, the vessel’s log books for engine and deck shall be made available for the Buyers’ examination. If the vessel is accepted after such afloat inspection, the purchase shall become definite except for other possible subjects in this contract-provided the Sellers receive written or telexed notice from the Buyers within 48 hours after completion of such afloat inspection. Should notice of acceptance of the vessel’s classification records and of the vessel not be received by the Sellers as aforesaid, the deposit shall immediately be released, whereafter this contract shall be considered null and void.

　　买方不得因船舶检查而延误船期，否则，买方应向卖方赔偿由此引起的损失。 买方在检查处于漂浮状态的船舶时，不可将其拆解开，也不可给卖方造成费用上的负担。在检查过程中，船舶的轮机日志和航海日志应提供给买方查阅。经检查，凭卖方在船舶漂浮检查后四十八小时内收到买方的书面或电传通知为准，一旦船舶获得认可，买卖关系即告确立。卖方如果未能按上述要求收到买方关于船舶船级记录的认可通知，保证金应立即释放，本合同宣告无效。

　　5. Place and time if delivery交船时间和地点

　　The vessel shall be delivered and taken over at/in . 船舶应在__进行交接。

　　Expected time of delivery: 预计移交时间/

　　Date of canceling(see clause 14): 解除合同日期

　　The Sellers shall keep the Buyers well posted about the vessel’s itinerary and estimated time and place of drydocking.

　　Should the vessel become a total or constructive total loss before delivery the deposit shall immediately be released to the Buyers and the contract thereafter considered null and void.

　　卖方应及时地将船舶动态、船舶预计进坞时间和地点告知买方。

　　交船前，倘若船舶发生全损或推定全损，本合同宣告无效，保证金应立即释放给买方。

　　6. Drydocking进坞

　　In connection with the delivery the Sellers shall place the vessel in drydock at the port of delivery for inspection by the Classification Society of the bottom and other underwater parts below the Summer Load Line. If the rudder, propeller, bottom or other underwater parts below the Summer Load Line be found broken, damaged or defective, so as to affect the vessel’s clean certificate of class, such defects shall be made good at the Sellers’ expense ) satisfaction without qualification on such underwater parts. )

　　为了便于船舶的移交，卖方应将船舶引入移交港的干船坞内，由船级社检验船底及夏季水线以下其它部分。倘若发现船舵、螺旋桨、船底或夏季水线以下其它部分有断裂、损坏或缺陷，以致于影响船舶清洁船级证书的取得，则上述缺点应由卖方自费修复)对上述水下部分完全满意为止)。

　　Whilst the vessel is in drydock, and if required by the Buyers or the representative of the Classification Society, the Sellers shall arrange to have the tail-end shaft drawn. Should same be condemned or found defective so as to affect the vessel’s clean certificate of class, it shall be renewed or made good at the Sellers’ expense to the Classification Society’s satisfaction without qualification.

　　船舶在坞期间，在买方或船级社代表的要求下，卖方应安排抽出尾轴。倘若尾轴完全毁坏或发现有缺陷，以致于影响船舶清洁船级证书的取得，则卖方应自费将其新换或修复直至船级社完全满意为止。

　　The expenses of drawing and replacing the tail-end shaft shall be borne by the Buyers unless the Classification Society requires the tail-end shaft to be drawn (whether damaged or not), renewed or made good in which event the Sellers shall pay these expenses.

　　尾轴的抽出和换新之费用由买方承担，除非尾轴的抽出(无论损坏与否)、换新或修复系出于船级社的要求，在该情况下，上述费用应由卖方承担。

　　The expenses in connection with putting the vessel in and taking her out of drydock, including drydock dues and the Classification Surveyor’s fees shall be paid by the Sellers if the rudder, propeller, bottom, other underwater parts below the Summer Load Line or the tail-end shaft to be found broken, damaged or defective as aforesaid or if the Classification Society requires the tail-end shaft to be drawn (whether damaged or not). In all other cases the Buyers shall pay the aforesaid expenses, dues and fees.

　　During the above mentioned inspections by the Classification Society the Buyers’ representative shall have the right to be present in the drydock but without interfering with the Classification Surveyor’s decisions.

　　The Sellers shall bring the vessel to the drydock and from the drydock to the place of delivery at their own expense.

　　倘若发现船舵、螺旋桨、船底、夏季水线以下其它部分或尾轴上述断裂、损坏或缺陷，或者船级社有抽出尾轴之要求(无论损坏与否)，则与船舶进出坞有关的费用包括船坞费的验船师费均应由卖方承担。在任何其它情况下，上述费用应由买方承担。

　　在船级社验船期间，买方代表有权在船坞，但不能影响验船师的工作和决定。

　　船级社引入干船坞的费用和将船舶由干船坞移至交船地的费用均应由卖方承担。

　　7. Spares/bunkers etc. 备件 / 燃料等

　　The Sellers shall deliver the vessel to the Buyers with everything belonging to her on board and on shore. All spare parts and spare equipment including spare tail-end shaft(s) and/or spare propeller(s), if any, belonging to the vessel at the time of inspection, used or unused, whether on board or not shall become the Buyers’ property, but spares on order to be excluded. Forwarding charges, if any, shall be for the Buyers’ account. The Sellers are not required to replace spare parts including spare tail-end shaft(s) and spare propeller(s) which are taken out of spare and used as replacement prior to delivery, but the replaced items shall be the property of the Buyers. The radio installation and navigational equipment shall be included in the sale without extra payment, if same is the property of the Sellers.

　　船舶包括属于船舶的一切船上和岸上物品应由卖主移交给买方。所有备件和备用设备包括备用尾轴和备用螺旋桨，凡是在船舶检查时属于船舶的物品，无论是否曾使用过，是否在船上，都应成为买方的财产。但是，正在订购的备件不包括在内，倘若发生转运费用问题，则转运费用应由买方承担。卖方不需要对交船前已经从后备库中取出用于替换的备件包括备用尾轴和备用螺旋桨进行补充，但是，被替换下的物件应成为买方财产。无线电装置、导航设备包括在本售卖中，无须另外付款，只要它们确系卖方财产。

　　The Sellers have the right to take ashore crockery, plate, cutlery, linen and other articles bearing the Sellers’ flag or name, provided they replace same with similar unmarked items. Library, forms, etc., exclusively for use in the Sellers’ vessels, shall be excluded without compensation. Captain’s, Officers’ and Crew’s personal belongings including slop chest to be excluded from the sale, as well as the following additional items:

　　The Buyers shall take over remaining bunkers, unused lubricating oils and unused stores and provisions and pay the current market price at the port and date of delivery of the vessel.

　　Payment under this clause shall be made at the same time and place and in the same currency as the Purchase Money.

　　卖方有权将印有卖方旗帜或名字的陶器、盘子、刀叉餐具、亚麻织品和其它物品拿上岸，只要卖方用没有标记的类似物品替代之。属于卖方专用的船上图书、资料表格等不包括在内，卖方不予以补偿。船长、高级船员和普通船员的私人行李包括日用品储藏箱以及下列物品均不包括在本售卖中，等。

　　船上剩余的燃料、未使用的润滑油、备用品和伙食应由买方接收并按交船地交船日的市场价格付款。

　　本条款下的付款时间、地点和币制与买价的支付相同。

　　8. Documentation 交船文件

　　In exchange for payment of the Purchase Money the Sellers shall furnish the Buyers with legal Bill of Sale of the said vessel free from all encumbrances and maritime liens or any other debts whatsoever, duly notarially attested and legalized by the consul together with a certificate stating that the vessel is free from registered encumbrances. On delivery of the vessel the Sellers shall provide for the deletion of the vessel from the Registry of Vessels and deliver a certificate of deletion to the Buyers. The deposit shall be placed at the disposal of the Sellers as well as the balance of the Purchase Money, which shall be paid as agreed together with payment for items mentioned in clause 7 above.

　　作为对买方支付买价的交换，卖方应向买方提交合法的船舶售卖让证明书，证明该船没有任何债务、海上留置权以及其它债务之牵连，经公证机关认可，并由律师出具船舶无债务证书。交船时，卖方应注销船舶登记，并向买方提交船舶注销证书、保证金及买价与保证金之差额连同前述第七条的付款将一并交付卖方。

　　The Sellers shall, at the time of delivery, hand to the Buyers all classification certificates as well as all plans etc. which are onboard the vessel. Other technical documentation which may be in the Sellers’ possession shall promptly upon the Buyers’ instructions be forwarded to the Buyers. The Sellers may keep the log books, but the Buyers to have the right to take copies of same.

　　交船时，卖方应将船上的全部船级证书及全部图纸交给买方。如果买方提出要求，卖方应将其拥有的其它技术文件迅速交给买方。航海日志应由卖方收存，但买方有复印的权力。

　　9. Encumbrances债务

　　The Sellers warrant that the vessel, at the time of delivery, is free from all encumbrances and maritime liens or any other debts whatsoever. Should any claims which have been incurred prior to the time of delivery be made against the vessel, the Sellers hereby undertake to indemnify the Buyers against all consequences of such claims.

　　卖方保证在交船时船舶没有任何债务、海上留置权以及其它债务之牵连。交船前，倘若发生任何有关所售船舶的索赔要求，卖方必须担义务保护买方使其免受由于上述索赔所造成的损失。

　　10. Taxes etc. 税款

　　Any taxes, fees and expenses connected with the purchase and registration under the Buyers’ flag shall be for the Buyers’ account, whereas similar charges connected with the closing of the Sellers register shall be for the Sellers’ account.

　　任何与悬挂买方旗帜的船舶之购买和登记有关的税款、费用以及其它开支应由买方承担;与卖方注销船舶登记有关的类似费用应由卖方承担。

　　11. Condition on delivery交船条件

　　The vessel with everything belonging to her shall be at the Sellers’ risk and expense until she is delivered to the Buyers, but subject to the conditions of this contract, she shall be delivered and taken over as she is at the time of inspection, fair wear and tear excepted.

　　However, the vessel shall be delivered with present class free of recommendations. The Sellers shall notify the Classification Society of any matters coming to their knowledge prior to delivery which upon being reported to the Classification Society would lead to the withdrawal of the vessel’s class or to the imposition of a recommendation relating to her class.

　　卖方应对属于船舶一切的物品承担风险和费用直至船舶移交给买方为止，但须以本合同的条款为限。船舶应按其接受检查时的状况移交，自然损耗除外。

　　船舶应按现有船级移交，交船前，卖方应将其所知的任何有关问题告知船级社。否则，一经船级社获悉，将取消船级或在船级上另加批注。

　　12. Name/markings船名与标记

　　Upon delivery the Buyers undertake to change the name of vessel and alter funnel markings.

　　船舶移交时，买方应负责更换船名和烟囱标记

　　13. Buyers’ default买方违约责任

　　Should the deposit not be paid as aforesaid, the Sellers have the right to cancel this contract, and they shall be entitled to claim compensation for their losses and for all expenses incurred together with interest at the rate of 12% per annum.

　　Should the Purchase Money not be paid as aforesaid, the Sellers have the right to cancel this contract, in which case the amount deposited together with interest earned, if any, shall be forfeited to the Sellers. If the deposit does not cover the Sellers’ losses, they shall be entitled to claim further compensation for their losses and for all expenses together with interest at the rate of 12% per annum.

　　倘若买方未能按前述规定支付保证金，卖方有权取消合同，并对所造成的损失和涉及的全部费用及其按年利率12%计算的利息提出索赔。

　　倘若买方未能按前述规定支付买价，卖方有权取消合同，保证金及其利息收入应归卖方所有。若保证金尚不足以弥补卖方的损失，卖方则有权继续要求对其损失和费用及其按年利率12%计算的利息进行赔偿。

　　14. Sellers’ default卖方违约责任

　　If the Sellers fail to execute a legal transfer or to deliver the vessel with everything belonging to her in the manner and within the time specified in line 38, the Buyers shall have the right to cancel this contract in which case the deposit in full shall be returned to the Buyers together with interest at the rate of 12% per annum. The Sellers shall make due compensation for the losses caused to the Buyers by failure to execute a legal transfer or to deliver the vessel in the manner and within the time specified in line 38, if such are due to the proven negligence of the Sellers.

　　倘若卖方未能按本合同规定的方式和期限完成船舶的法定移交手续或未将一切属于船舶的物品移交给买方，买方有权取消合同，全部保证金包括按年利率12%计算的利息应退还给买方。卖方应就未能按本合同规定的方式和期限完成船舶的法定移交手续或未将一切属于船舶的物品移交给买方而给买方靠成的损失予以适当补偿，如果证实确系卖方过失所致。

　　15. Arbitration仲裁

　　If any dispute should arise in connection with the interpretation and fulfillment of this contract, same shall be decided by arbitration in the city ) of and shall be referred to a single Arbitrator to be appointed by the parties hereto. If the parties cannot agree upon the appointment of the single Arbitrator, the dispute shall be settled by three Arbitrators, each party appointing one Arbitrator, the third being appointed by )

　　在本合同的解释和履行上如发生纠纷，则应在__) )的有关法律进行仲裁，或由双方共同指派一名仲裁人仲裁解决。倘若买卖双方未能就共同指派一名仲裁人达成一致则纠纷应由三名仲裁人仲裁解决，双方各指派一名，第三名由__)指派。

　　If either of the appointed Arbitrators refuses or is incapable of acting, the party who appointed him, shall appoint a new Arbitrator in his place.

　　If one of the parties fails to appoint an Arbitrator-either originally or by way of substitution-for two weeks after the other party having appointed his Arbitrator has sent the party making default notice by mail, cable or telex to make the appointment, the party appointing the third Arbitrator on behalf of the party making default.

　　The award rendered by the Arbitration Court shall be final and binding upon the parties and may if necessary be enforced by the Court or any other competent authority in the same manner as a judgement in the Court of Justice.

　　This contract shall be subject to the law of the country agreed as place of arbitration.

　　倘若一仲裁人拒绝受理或不能履行其职责，则其指派方应另行指派一名仲裁人替代之。

　　倘若一方在另一方指派仲裁人后两周内仍未指派出仲裁人(无论是初始仲裁人还是替代仲裁人)，且指派方已向未指派方发出了有关提醒指派仲裁人的信函、电报或电传，则在指派方的请求下，指派第三名仲裁人的一方也应代表未指派方指派一名仲裁人。

　　仲裁法庭的仲裁为终结仲裁，对双方都有约束力。必要时，该仲裁可与法院的判决一样，由法院和其它主管当局强制执行。本合同以服从仲裁所在国的法律为前提。

　　1) The name of the Classification Society to be inserted.

　　2) Notes, if any, in the Surveyor’s report which are accepted by the Classification Society without qualification are not to be taken into account.

　　3) The place of arbitration to be inserted. If this is not filled in, it is understood that arbitration will take place in London in accordance with English law.

　　4) If this line not filled in it is understood that the third Arbitrator shall be appointed by the London Maritime Arbitrators’ Association in London.

　　1)将船级社的名字填入;

　　2)验船师报告上如有船级社完全认可的批注将不再予以考虑;

　　3)将仲裁地填入。如果此栏未填， 则认为仲裁将在伦敦按照英国法律进行;

　　4)如果此栏未填，则认为第三名仲裁人应由伦敦海上仲裁协会指派。
