机场候机楼商业租赁合同翻译(中英文)
Commercial Lease Contract of International Airport Terminal
甲方:机场股份有限公司
Party A: Airport Co., Ltd.
乙方:零售有限公司
Party B: Retail Co., Ltd.
本合同于2013年 月 日由下列双方在机场签订。
The contract was entered by and between the following two parties on at Airport.

甲、乙双方根据有关法律规定,本着友好合作、协商一致的原则,为明确双方权利义务,特签订本合同,并共同遵守。
Party A and Party B signed and abide by the contract on the basis of friendly cooperation and consensus in accordance with related laws and regulations for the purpose of defining the rights and obligations of each other.
1. 一般约定General agreements
1.1 除非文中另有不同要求,文中双方指甲方和乙方,一方指甲方或乙方中的任何一方。
Unless otherwise specified herein, both parties mentioned anywhere herein refer to both Party A and Party B, and either partyrefers to Party A or Party B.
1.2 合同中货币均以人民币元为计算单位(除合同中有特别规定)。
The currency used herein is RMB in Yuan (unless otherwise expressly stated in the contract).
2. 租赁区域及期限 Leased area and term
2.1 租赁区域 Leased area
在遵守本合同规定的前提下,甲方同意出租且乙方同意承租机场新国际候机楼出发大厅问询处左侧面积为96平方米的商业区域,以便乙方能在机场新国际候机楼内进行特产、食品、工艺品、旅游用品等零售商品的展示及销售。(具体位置参见附件7。)
Subject to compliance with the contracted provisions, Party A agrees to rent out and Party B agrees to rent in the 96-square-meter commercial area located at the left side of the Information Office of the Departure Hall in the New International Airport Terminal of the Airport so that Party B can display and sell retail goods such as specialties, foodstuffs, craftworks and tourist goods.(Refer to Annex 7 for specific spot)
2.2 租赁期限 Leased term
合同自 年 月 日起至 年 月 日止,有效期为五年,自机场国际候机楼面向社会正式运营之日(以甲方书面通知为准)起计算。
The contract shall be valid for five years from Day Month Year to Day Month
Year, starting from the official operation date of Airport International Airport Terminal(subject to Party A’s written notice).
3. 经营范围 Business scope
3.1 乙方在租赁区域内只能提供特产、食品、工艺品、旅游用品等经甲方事先书面同意的零售商品的展示及销售,未经甲方事先书面同意,不得提供其他服务。
Party B shall only display and sell retail goods agreed by Party A in writing in advance in the leased area, such as specialties, foodstuffs, craftworks and tourist goods. Without Party A’s prior written consent, Party B shall not provide other services.
4. 场地租金及其他费用Venue rent and other costs
4.1租金 Rent
租金=月度销售额×提成比例Rent =Monthly sales×Royalty percentage
合同期内,提成比例保持20%不变。
Within the contract period, the royalty percentage shall remain 20%.
月度销售额系乙方在出租单元内完成的产品或服务的全部销售额,不论是通过现金还是信用卡交易,或通过票据或任何其他方式实现的扣除各项折扣外的销售金额。
Monthly sales refers to income received for products or services sold by Party B in the leased area in a month through either cash or credit-card-based transactions, or sales amount achieved in a month through either bills or in any other way from which all discounts are deducted.
4.2 其他费用 Other costs
水、电费Water and electricity bills
水、电费的收取由机场与乙方另行签订协议征收。如当地或机场转供的水电气的价格发生调整,甲方向乙方收取的费用也作相应调整。
Water and electricity bills shall be collected according to the agreement otherwise concluded by and between Airport. and Party B. If the prices of water, electricity and gas that are provided either for local public use or specially for the airport change, Party A will adjust water and electricity bills payable by Party B accordingly.
乙方租赁区域内用水、用电设施由乙方委托有资质的单位自行维修,甲方不承担任何维修责任。
Party B shall have its water and electricity-consuming facilities in the leased area repaired by qualified organizations. Party A will not assume any maintenance responsibility.
4.3 其他费用 Other costs
按国家相关部门相关政策和规定由乙方自行缴纳的费用。
Other costs refer to the costs paid by Party B in accordance with relevant policies and regulations of relevant national sectors.
4.4 租金及费用的维持Adjustment of rent and costs
租赁期间,因下列原因而仅造成租赁区域面积扩大或缩小,月租金及费用(按本合同所确定的租金和费用标准)将按实际情况按照相应的比例进行调整:
Monthly rent and costs (based on the standards of rent and costs as defined in the contract) will be adjusted in proportion in light of actual circumstances if the leased area alone is expanded or shrunk due to any of the following reasons during the leased term:
4.5 甲方对航站楼布局调整Adjusting the layout of the airport terminal by Party A.
4.6 不可抗力导致调整Any force majeure event.
4.7 双方同意的其他情况而导致调整Other cases agreed by both parties.
4.8 租金及费用缴付不受影响Unaffected payment of rent and costs
租金交缴不受合同双方或与第三方争议等原因影响,在法院判决或仲裁裁决生效之前,乙方仍须如期全额向甲方交缴租金,否则,视为逾期交缴租金,应按6.1.3条款规定处理。
Rent payment shall not be affected by any reasons such as disputes between both parties or with any third party. Party B shall pay the rent in full to Party A as scheduled before entry into force of any court decision or arbitral award, otherwise, Party B shall be deemed failing to pay rent on time and will be punished as stipulated in Subclause 6.1.3.
5. 现金流登记系统Cash flow registration system
5.1 经甲方事先书面同意后,乙方须使用现金销售计算机登记系统,以记录租赁单元销售产品或提供服务的各种款项。该系统须能够打印双份机打销售清单,清单须标明租赁单元的每一笔销售,并将其编码登记;系统还须分配不可重新设置的现金登记序列号及销售点名称和识别代码。
With prior written consent by Party A, Party B shall register the cash flow relevant to products sold or services furnished in the leased area in a cash sales registration computer system. The system shall be able to print double sales lists in which each transaction occurring in the leased area shall be indicated and numbered; the system shall also be able to allocate cash registration serial numbers, sales outlet names and identification codes that cannot be reset.
5.2甲方有权在乙方承租区域内安装监控系统,乙方须确保监控系统的正常使用,所有交易必须在监控范围之内进行,甲方有权随时检查收银系统、帐簿、货物标识、记录等相关情况。
Party A shall have the right to install a monitoring system in Party B’s leased area. Party B shall ensure the normal service of the monitoring system and that all transactions are done within the monitoring scope. Party A shall have the right to inspect such items as cashier system, account book, cargo marking and logs from time to time.
5.3 乙方应在每月第五个工作日前向甲方提供附件3《月度财务报表》中所列的全部信息。财务数据必须真实、完整、没有歧义。
Party B shall provide all information listed in Annex 3 Monthly Financial Statements to Party A by the fifth working day of each month. The financial data must be true, complete and unambiguous.
5.4乙方如未按本条的要求使用收银系统包括且不限于隐瞒交易信息、录入虚假交易信息等,第一次向甲方支付1万元违约金,第二次向甲方支付5万元违约金,第三次向甲方支付10万元违约金,如乙方未按规定使用收银系统交易超过四次,甲方可立即解除合同。
If Party B fails to use the cashier system as required by this Article, including but not limited to concealing transaction information and entering false transaction information, it shall pay Party A RMB 10,000 as penalty for its first failure, RMB 50,000 for its second failure, and RMB 100,000 for its third failure. If Party B fails more than four times, Party A may immediately dissolve the contract.
5.5若甲方统一安装商业收费系统, 乙方应无条件按照甲方要求使用甲方收银系统。收银系统的使用费用及其他具体要求将由双方签订补充协议约定,在任何合理范围内,乙方应无条件接受甲方对于收银系统的收费标准和管理规定。
If Party A provides a commercial cashier system, Party B shall unconditionally use the system as per Party A’s requirements. The charge for using the system and other specific requirements shall be agreed by both parties in a supplemental agreement. To any reasonable extent, Party B shall unconditionally accept Party A’s charging standard for using the cashier system and relevant administrative regulations.
6. 法律适用和争议解决Legal Application and Dispute Settlement
6.1 本合同的签订、履行、解释、争议解决等均适用中华人民共和国法律。
The laws of the People’s Republic of China shall apply to the signing, execution, interpretation and dispute settlement of this contract.
6.2 甲、乙双方因本合同而产生的争议应首先通过协商解决,不能协商解决的,任何一方均可提请北京仲裁委员会按该会仲裁规则进行仲裁。仲裁裁决是终局的,对双方均具有约束力(本条关于仲裁的规定,不得被解释为对甲方按照本合同其他条款而采取相应措施的限制)。
The contracting parties should first of all settle any dispute arising from this contract through consultation. If consultation fails, any of the contracting parties can apply to the Beijing Arbitration Committee for arbitration according to its arbitration rules. The arbitration decision is final and legally binding to both parties (this article on arbitration shall not be interpreted as a restriction on the corresponding measures Party A shall take in accordance with other terms of this contract).
7. 税费 Taxes
本合同在政府有关房管部门的租赁登记手续由双方共同办理,各自承担依法应由出租方或承租方承担的各项税费。
The lease registration formalities of this contract with the government department in charge of housing administration shall be done together by the contracting parties and all the related taxes and fees shall be borne respectively by them according to law.
8. 附件 Annexes
8.1 本合同未尽事宜,甲、乙双方另订补充协议或附件规定之,补充协议或附件是本合同不可分割的一部分,与本合同具同等法律效力。
Article 29 The contracting party shall sign a supplementary agreement or annexes to cover the matters that are not covered by this contract. The supplementary agreement or annexes shall constitute an inseparable part of this contract and shall carry the same legal force as long as they are signed by both Party A and Party B.
8.2 除本合同、补充协议或其附件规定的内容外,其他一切有关大厦、大厦附属物及所租房间的陈述,对甲方均无约束力。
No other statements concerning the plaza, the plaza’s appendage and the leased room, except this contract, the supplementary agreement or its annexes, shall be legally binding to Party A.
8.3乙方在签署本合同时,应提供其营业执照副本复印件(出示原件)、法定代表人授权委托书原件、乙方(或其法定代表人)身份证复印件(出示原件);甲方应提供所租房间的平面图复印件。上述文件作为本合同的附件。
When Party B signs this contract, it should provide the photocopy of the duplicate copy of its business license (with the original copy produced), the original copy of the authorization of the legal representative, and the photocopy of the ID card of Party B or its legal representative (with the original copy produced); Party A should provide the photocopy of the plan of the leased room. All these documents shall become the annexes to this contract.
9. 生效日及合同份数、文本 Effective date,Copies and Versioins
10.1 本合同自甲、乙双方授权代表签字并盖章,且甲方收到乙方首付款之日起生效。
This contract shall enter into force as from the date when Party A receives Party B’s first payment after it is signed and sealed by the representatives authorized by the contracting parties.
9.2 本合同一式肆份,甲方执叁份,乙方执壹份,具有同等法律效力。
This contract is made in four copies, with three copies being for Party A and one copy for Party B. All these copies carry the same legal force.
9.3 合同为中英文对照版本,具有同等法律效力。如有理解不同之处以中文合同为准。
This contract is made in a bilingual version of Chinese and English, with both languages having the same legal force. In case of any difference the Chinese version shall prevail.
